1. Acceptance of Terms

Memgrain ("the Service") is operated by Steven Urry ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. The Service

Memgrain provides AI-powered tools to generate flashcards and quizzes from user-supplied content, and to support verbatim memorization with spaced repetition. Features and limits may change over time.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for any activity under your account. You must be at least 13 years old to use the Service.

4. User Content

You retain ownership of the notes, documents, and texts you upload. You grant Memgrain a limited license to process this content solely to provide the Service to you. Do not upload content you do not have the right to use.

5. Acceptable Use

You agree not to misuse the Service, including: attempting to reverse engineer it, abusing rate limits, uploading unlawful content, or using the Service to harass others or infringe third-party rights.

6. Subscriptions & Billing

Our order process is conducted by our online reseller Paddle.com Market Limited ("Paddle"). Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paid plans are billed in advance via Paddle. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Refunds are governed by our Refund Policy and Paddle's Buyer Terms.

6a. Intellectual Property

The Service, including all software, content, design, branding, trademarks, and documentation, is owned by Steven Urry and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain ownership of content you upload, but grant us a limited license to process it solely to provide the Service to you. You may not copy, modify, reverse engineer, resell, or redistribute any part of the Service.

7. AI Output Disclaimer

AI-generated flashcards, quizzes, hints, and explanations may contain errors. You are responsible for verifying any information before relying on it for academic, professional, or other consequential decisions.

8. Termination

We may suspend or terminate access to the Service for violation of these Terms. You may stop using the Service at any time and request deletion of your account from settings.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. To the fullest extent permitted by law, Memgrain disclaims all implied warranties, including merchantability and fitness for a particular purpose.

10. Limitation of Liability

To the fullest extent permitted by law, Memgrain shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Service.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
